1. Acceptance of Terms

These Terms and Conditions ("Terms", "Agreement") govern your access to and use of the services, website (https://www.mymonitrix.com), client portals (https://iportal.mymonitrix.in), and the Monibook Cloud Accounting application provided by Monitrix Corporate Services Pvt. Ltd. ("Monitrix", "Company", "we", "our", or "us").

By engaging our services, making a payment via online payment gateway (including Razorpay), accessing our client portal, or subscribing to our cloud software, you ("Client", "User", "you") acknowledge that you have read, understood, and agreed to be legally bound by these Terms and our Privacy Policy.

2. Company Information & Legal Status

Monitrix Corporate Services Pvt. Ltd. is an incorporated private limited company incorporated under the Companies Act, 2013 in India, with Registered Office at 259, 1st Floor, Green Square Market, Hisar, Haryana - 125001, India. The Company operates as a premier corporate secretarial, legal advisory, tax compliance consultancy, and enterprise cloud accounting provider.

3. Scope of Services

Monitrix provides professional corporate advisory, compliance, and cloud software services, including but not limited to:

• Corporate Secretarial & Entity Formation: Private Limited, LLP, OPC, Public Ltd, Section 8, Trust, Partnership, and International Incorporations (USA, UK, UAE).
• Tax & Regulatory Compliance: GST registration, monthly/quarterly GST return filings, Income Tax (ITR) return filings, TDS compliance, and Tax Audits.
• Intellectual Property Rights: Trademark searches, trademark applications, copyright, patent filing, and objection representations.
• Government Licensing & Approvals: Import Export Code (DGFT IEC), FSSAI food licensing, MSME / Udyam registration, GeM portal vendor registration, EPR environmental compliance, and CPWD contractor licensing.
• Monibook Cloud SaaS: Cloud-based accounting, invoicing, ledger reconciliation, GST billing, and inventory management software.

4. User Accounts & Client Portal Access

To use certain features, access service progress, or view invoices, you may be issued or required to create an account on the Monitrix Client Portal (https://iportal.mymonitrix.in). You are responsible for maintaining the confidentiality of your login credentials, two-factor authentication, and all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

5. Client Responsibilities & Accurate Information

All filings, registrations, and legal drafting rely upon the truthfulness and authenticity of documents and information provided by you. You represent and warrant that:

• All KYC documents, identity proofs (PAN card, Aadhaar, Passport), registered office address proofs, and financial records submitted are genuine, valid, and legally acquired.
• You hold necessary legal authority to act on behalf of the entity or business you represent.
• Monitrix shall not be held liable for any statutory penalties, rejected applications, or legal proceedings resulting from false, altered, expired, or misleading documentation provided by the Client.

6. Professional Fees & Payment Terms

Fees for services rendered by Monitrix are clearly displayed on the invoice or order checkout screen. Fees may consist of two components:

1. Monitrix Professional Advisory Fees: Subject to applicable Goods and Services Tax (GST).
2. Statutory Government Fees & Stamp Duty: Exact government challan fees payable to respective government departments (MCA, GSTN, IP India, DGFT, State Treasury), which are disbursed directly on government portals on your behalf.

All online payments are securely processed through authorized Payment Gateways (such as Razorpay). We accept UPI (Google Pay, PhonePe, Paytm, BHIM), Net Banking, Debit Cards, and Credit Cards. By initiating payment, you authorize the payment processor to charge the stated amount.

7. Statutory Processing Times & Government Delays

While Monitrix processes, reviews, and submits applications within committed internal service timelines, final approvals, inspection queries, and certificate issuances remain under the exclusive sovereign authority of the respective government departments (Ministry of Corporate Affairs, Income Tax Department, GST Department, Trademark Registry, etc.). Monitrix shall not be held liable for department server downtimes, official government backlogs, or unexpected statutory delays outside our reasonable control.

8. Intellectual Property

All content, branding, website designs, proprietary forms, software code, calculators, graphics, and the Monibook SaaS platform are the exclusive intellectual property of Monitrix Corporate Services Pvt. Ltd. You may not copy, reverse engineer, reproduce, or commercially exploit any part of our platform without prior written consent.

9. Limitation of Liability

To the fullest extent permitted by applicable Indian law, Monitrix and its directors, chartered accountants, advocates, officers, and employees shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from the use of our services or software. Monitrix's total cumulative liability for any verified direct loss shall in no event exceed the total professional fee amount actually paid by the Client to Monitrix for the specific service under dispute.

10. Governing Law & Dispute Resolution

These Terms and all engagements with Monitrix shall be governed by and construed in accordance with the laws of the Republic of India. Any disputes, controversies, or claims arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts located in Hisar, Haryana, India.

11. Modifications to Terms

Monitrix reserves the right to modify or replace these Terms at any time. Any changes will be posted on this page with an updated "Last Updated" date. Continued use of our website or services following any revisions constitutes your acceptance of the revised Terms.
